1. Acceptance of Terms
By accessing or using the DeepAlpha platform, website, cloud service, or any related software (collectively, the “Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. Continued use of the Service after any modifications to these terms constitutes acceptance of the revised terms.
2. Service Description
DeepAlpha is a cloud-hosted, AI-powered cryptocurrency trading bot. The Service connects to supported exchanges (currently Bybit) via your API keys and executes trades autonomously based on machine learning models. DeepAlpha is a non-custodial service — we never hold, manage, or have withdrawal access to your funds. All trades are executed directly on your exchange account.
We also offer a downloadable version of the software for self-hosted use.
3. Account Registration
- You must be at least 18 years old to use DeepAlpha.
- You are responsible for maintaining the security of your account credentials.
- You must provide accurate and truthful information during registration.
- One account per person. Multiple accounts may be terminated without notice.
4. API Keys & Security
- You provide your exchange API keys to enable automated trading on your behalf.
- API keys are encrypted using AES-256 encryption and stored securely on our servers.
- API keys are used solely for executing trades as instructed by the bot — never for any other purpose.
- We strongly recommend enabling only “Trade” permissions on your API keys and never enabling “Withdraw” permissions.
- DeepAlpha never has access to withdraw funds from your exchange account.
- You are solely responsible for the security of your exchange account and API key permissions.
5. Non-Custodial Service
DeepAlpha is strictly non-custodial. Your funds remain on your exchange account at all times. We do not hold, manage, transfer, or have withdrawal access to your funds under any circumstances. All trades are executed directly on your exchange account via API. We do not operate as a broker, custodian, or financial intermediary.
6. Risk Disclosure
- Trading cryptocurrency involves significant risk of financial loss. You may lose some or all of your invested capital.
- Past performance is not indicative of future results. Backtest results, historical returns, and simulated performance do not guarantee future outcomes.
- AI and machine learning models can and do make incorrect predictions. No trading system is infallible.
- Leverage amplifies both gains and losses. Trading with leverage increases risk substantially and may result in liquidation.
- Cryptocurrency markets are highly volatile and may be subject to manipulation, regulatory changes, and liquidity issues.
- You should only trade with capital you can afford to lose entirely.
- DeepAlpha is not a financial advisor and does not provide investment, financial, tax, or legal advice.
7. Pricing & Payments
- Free Trial: 7 days of full access, no credit card required.
- Pro: $39/month, billed monthly. Cancel anytime.
- Lifetime: $199 one-time payment. Includes cloud access and source code license.
- Payments are processed by third-party providers (Gumroad, NOWPayments). We do not store your payment card information.
- Refunds are available within 30 days of purchase if you are not satisfied.
8. Prohibited Uses
You agree not to use the Service to:
- Engage in market manipulation, wash trading, spoofing, or any form of artificial market activity.
- Conduct money laundering, terrorist financing, fraud, or any other illegal activity.
- Attempt to reverse-engineer, decompile, hack, or compromise the platform or its AI models.
- Share your account credentials with others or resell access to the Service.
- Use the Service in jurisdictions where cryptocurrency trading is prohibited by law.
- Interfere with or disrupt the Service or its infrastructure.
9. Service Availability
- We strive for high uptime but cannot guarantee uninterrupted service.
- Scheduled maintenance will be communicated in advance when possible.
- Exchange outages, API changes, network issues, or force majeure events may temporarily affect trading.
- We are not responsible for losses caused by exchange downtime, API failures, or third-party service interruptions.
10. Account Termination
- You may cancel your subscription and close your account at any time. The bot will stop trading immediately upon cancellation.
- We reserve the right to suspend or terminate accounts that violate these terms, engage in prohibited activities, or pose a risk to the platform or other users, with or without prior notice.
- Upon termination, your API keys are permanently and irrecoverably deleted from our systems.
- Any outstanding subscription period at the time of termination for cause will not be refunded.
11. Limitation of Liability
To the maximum extent permitted by applicable law, DeepAlpha, its operators, developers, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to:
- Trading losses incurred while using the Service, regardless of magnitude.
- Service interruptions, technical failures, bugs, or errors in the AI models.
- Unauthorized access to your account due to compromised credentials or API keys.
- Exchange-related issues including but not limited to liquidations, slippage, API errors, order execution failures, or exchange insolvency.
- Any reliance on information, signals, or performance data provided by the Service.
In no event shall our total liability exceed the amount you have paid to DeepAlpha in the twelve (12) months preceding the claim.
12. Intellectual Property
- The DeepAlpha software, AI models, algorithms, and brand are proprietary.
- Lifetime plan holders receive a personal, non-transferable license to use the source code.
- You may not resell, redistribute, sublicense, or create competing services using our code or models without prior written permission.
- The DeepAlpha FreqAI plugin (available on PyPI) is open-source under the MIT license.
13. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or a prominent notice on the platform. Continued use of the Service after changes constitutes acceptance of the updated terms. We encourage you to review these terms periodically.
14. Governing Law & Dispute Resolution
These terms shall be governed by and construed in accordance with applicable international commercial law principles. Any disputes arising from or related to these terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached, disputes may be submitted to binding arbitration under internationally recognized arbitration rules.
